The 5 Most Common 1/500 Legal Bottlenecks — And How to Fix Them


Across 200+ project files assessed, LexFin Capital has identified the 5 legal bottlenecks that recur most often in 1/500 master plan projects in HCMC and surrounding areas. On average, each one delays a project 6–12 weeks when not caught early.

1. The Approved Plan Doesn't Match the Site

The 1/500 map is approved, but actual site boundaries deviate from the construction permit file — usually due to outdated surveys after local road-boundary adjustments. This error appears in 40% of the files LexFin receives.

Risk: The construction permit gets rejected and a full re-survey is required — 8–12 weeks lost.
Fix: Cross-check the updated cadastral map at the Land Registration Office before filing — a 3-day step that saves 3 months.

2. The Land Title Isn't Subdivided per the Plan

Many projects hold one master land title without plot-by-plot subdivision per the 1/500 drawings. Banks and appraisal authorities require subdivision before anything moves forward — no exceptions.

DSCR 1.2x — How Banks Actually Read This Number


DSCR (Debt Service Coverage Ratio) = Net operating income ÷ Total debt obligations for the period.

A real example: a business with VND 12bn annual revenue, VND 8bn operating costs, VND 4bn net income. A VND 20bn loan at 9%/year over 5 years → annual debt service of roughly VND 5.1bn. DSCR = 4 ÷ 5.1 = 0.78x → instant rejection.

The Real Thresholds at Vietnamese Banks

· DSCR < 1.0x: Cash flow can't cover debt → rejected, no negotiation
· DSCR 1.0x–1.2x: Grey zone — requires very strong collateral and a clean CIC history
· DSCR 1.2x–1.5x: The standard band — files are processed normally
· DSCR > 1.5x: Strong cash flow — grounds to negotiate preferential rates and higher LTV

The Most Common Mistake: Miscalculating Your Own DSCR

CLN → Residential: The Real-World Land-Use Conversion Roadmap 2026


The 2024 Land Law (effective 01/08/2024) and the new land price tables have significantly changed conversion costs and procedures. Land-use fees in many HCMC areas and the outskirts are now 2–4× the old price table — the single biggest financial risk to price into your deal structure from day one.

Important: The 2025 Administrative Restructuring

Since 01/07/2025, HCMC operates a two-tier government model (city and ward/commune) — the district level no longer exists. The Department of Natural Resources and Environment has been renamed the Department of Agriculture and Environment (HCMC DAE). Verify which authority receives files for your specific location before submitting.

Step 1 — Confirm Convertibility (1–2 weeks)

Not all CLN land can be converted to residential. Mandatory checks:

· Is the plot zoned residential on the land-use planning map?
· Is it affected by planned roads, parks, or safety corridors?
· After deducting road boundaries, does the remaining area meet the minimum subdivision size?

Where to check: the ward/commune People's Committee or HCMC DAE.
Warning: Plenty of CLN plots sit squarely inside residential zoning yet still can't convert because of unpublished technical-infrastructure planning. Check in person — never rely on online maps alone.

Step 2 — File the Conversion Application (4–8 weeks)

The file includes: the conversion application, original land title, cadastral map, personal or corporate identification, and a current-status drawing.

· Households and individuals: file at the ward/commune People's Committee where the land sits
· Organizations and businesses: file at HCMC DAE

2026 note: Files submitted before 01/08/2024 but not yet approved may need supplements under the 2024 Land Law — check your file status immediately if this applies to you.

Step 3 — Settle the Financial Obligations (2–4 weeks)

Once the tax authority issues the payment notice, payment is due within the prescribed window — typically 30 days, extendable once at most.

Real numbers to budget for: In HCMC's outskirts (Binh Chanh, Hoc Mon, Cu Chi), land-use fees for a 500m² plot currently run VND 800 million – 2.5 billion depending on location. This cost is mandatory and non-negotiable — build it into the financial structure from day one.

Step 4 — Update the Land Title (2–3 weeks)

After payment, the Land Registration Office updates the land-use purpose on the title. The plot officially becomes residential land — eligible for bank mortgage and project construction.
